Terms of Service

Nexus Academy (the "Service") is operated by Raymond Naylor, sole trader, Australia (ABN 87 716 389 234), trading as Nexus Systems ("we", "us", "our"). These Terms govern your access to and use of the Service. By creating an account, starting a free trial, or continuing to use the Service, you accept these Terms.

1. Eligibility & Accounts

You must be at least 18 years old to create an account. The Service is intended to be used by parents or guardians on behalf of their children (ages 6–14). You are responsible for all activity under your account, for keeping your credentials secure, and for providing accurate, up-to-date information.

2. Membership, Free Trial & Billing

New accounts receive a 12-hour free trial of full access. After the trial ends, continued access to the Academy requires an active subscription. The standard plan is $2 AUD per month, billed monthly, and renews automatically until cancelled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellations, and refund mechanics are governed by Paddle's Buyer Terms in addition to these Terms.

3. Licence to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial educational use within your household. We retain all right, title, and interest in the Service, including all software, content, branding, and IP.

4. Acceptable Use

  • No unlawful, fraudulent, deceptive, or harmful use.
  • No attempt to access, scan, probe, or interfere with our infrastructure or other users.
  • No reverse engineering, scraping, redistribution, or resale of the Service.
  • No infringement of intellectual property, privacy, or other rights of any person.
  • Zero tolerance for content depicting child sexual abuse, threats of violence, or exploitation.

5. Suspension & Termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time; your access continues until the end of the current billing period.

6. Service Availability

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Features may change, be added, or be removed over time as the Service evolves.

7. Australian Consumer Law & Statutory Rights

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot lawfully be excluded. Any provision of these Terms that conflicts with a non-excludable right is read down to the minimum extent necessary so that it does not so conflict. To the extent permitted by law, our liability for breach of a non-excludable consumer guarantee is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, or other intangible losses. Our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you have paid us in the 12 months immediately preceding the claim. These limitations do not apply where they cannot lawfully be applied (see clause 7).

9. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense arising out of your misuse of the Service, your breach of these Terms, or your infringement of any third-party right.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them.

12. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remainder continues in full force and effect. These Terms, together with our Privacy Policy, Refund Policy, AI Disclaimer, and Report Abuse page, constitute the entire agreement between you and us regarding the Service.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
